Terms and Conditions

1. The Services

The School Management System helps schools run fees and vouchers, attendance, timetables, payroll, exams and question papers, notices and a parent app. Our website describes what we build and includes demonstrations of AI tools. We may add, change or remove features over time.

2. Accounts

• Give us accurate information when you register, and keep it up to date.
• Keep your sign-in details private. You are responsible for what happens under your account.
• A school decides who on its team gets access and with what role. Tell us right away if you suspect unauthorised use.

3. Free trial and paid plans

New schools can try the School Management System free for 30 days without a card. After the trial, continued use may require a paid plan. We will tell you the terms before you are charged, and we will not charge you without your agreement.

4. Your data

A school owns the information it puts into the School Management System. It allows us to store, process, display and transmit that information only as needed to provide the Services and as described in our Privacy Policy. We act on the school’s behalf as its service provider.

The school is responsible for:

• Having the right to enter the information it uploads, including information about students, parents and staff.
• Telling parents, staff and others how their information is used, and obtaining any consent the law requires.
• Checking that the information is accurate, and reviewing important outputs such as fee vouchers, payroll and exam results before relying on them.
• Keeping its own copies or exports of anything it cannot afford to lose.

5. Messaging and WhatsApp

The School Management System can send notices by email and, when a school enables it, by WhatsApp through the WhatsApp Business Platform run by Meta. If a school uses WhatsApp messaging:

• The school must follow Meta’s rules for business messaging, including the WhatsApp Business Terms and the WhatsApp Business Messaging Policy (linked below).
• The school may only message people who have agreed to receive its messages, and must stop messaging anyone who asks it to.
• Messages must not be spam, misleading, unlawful or otherwise prohibited by Meta. Message templates may need Meta’s approval before they can be used.
• Meta decides whether a message is delivered and may limit or suspend a WhatsApp account. We cannot guarantee delivery or timing, and we are not responsible for Meta’s decisions.
• Any fees that Meta charges for messaging are the school’s responsibility, unless we have agreed otherwise in writing.

6. Acceptable use

You must not:

• Use the Services for anything unlawful, harmful or deceptive.
• Try to access another school’s data, or any part of the Services you have not been given access to.
• Copy, reverse engineer or resell the Services, or introduce malware.
• Overload or disrupt the Services, or submit automated or fake enquiries through our website.
• Use the AI demos on our website in ways that go beyond reasonable use or that try to make them behave in ways they are not meant to.

7. AI demos on our website

The chat assistant, ticket triage and business audit tools on brightcodex.com are demonstrations. Their answers are generated by an AI model and may be wrong or incomplete, so don’t rely on them for legal, financial, medical or other important decisions, and don’t enter sensitive information. Usage limits apply.

8. Intellectual property

We own the Services, including the software, design, text and trademarks. While your access is active, we give you a limited, non-exclusive right to use the Services as these terms allow. A school keeps ownership of its own data and content. If you send us feedback, we may use it to improve the Services without owing you anything.

9. Third-party services

Parts of the Services rely on third parties such as Meta (WhatsApp), hosting and email providers. Their services are governed by their own terms, and we are not responsible for them.

10. Availability and disclaimers

We work to keep the Services available and accurate, but they are provided “as is” and “as available”. We do not promise they will be uninterrupted or free of errors, and we may carry out maintenance or make changes from time to time.

11. Limits on our liability

To the extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or data, arising from your use of the Services. Our total liability for any claim is limited to the amount you paid us for the Services in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Suspension and ending your use

• You can stop using the Services at any time and ask us to close your account.
• We may suspend or end access if these terms are broken, if use puts others or the Services at risk, or if an agreed payment is not made.
• When an account ends, we delete the school’s data as described in our Privacy Policy. Ask us for an export first if you need a copy.

13. Privacy

14. Changes to these terms

We may update these terms. The “last updated” date at the top shows when they last changed. If a change is significant, we will tell schools by email or in the product. Continuing to use the Services after a change means you accept the updated terms.

15. Governing law

These terms are governed by the laws of Pakistan, and the courts of Karachi have jurisdiction over any dispute, unless the law where you live gives you the right to bring a claim elsewhere.
